TERMS & CONDITIONS

  1. General
    • These Terms & Conditions (Terms) apply to all sales of Goods by The Blinds Portal Ltd (hereby “The Blinds Portal”) to you.
    • The headings in these Terms are for ease of reference only and shall not affect the interpretation or construction of these Terms.
    • These Terms contain the entire agreement between The Blinds Portal and the Customer and supersede all prior negotiations and agreements, whether oral or in writing, as to the subject matter hereof. No amendment, alteration or waiver or cancellation of these Terms is binding unless confirmed by The Blinds Portal in writing.
    • The Customer acknowledges that no employee or agent of The Blinds Portal has any right to make any representation, warranty or promise in relation to the Goods or the sale of the Goods other than as contained in these Terms.
    • If you are a consumer customer, (being an individual acting for purposes which are wholly or mainly outside that individual’s trade, business, craft of profession), then these Terms will apply to the fullest extent permitted by law.

 

  1. Descriptions & Photography
    • The products we sell are either photographed or digitally produced and are accurately displayed on the website. However, due to different types, styles and settings of computer monitors, shading and colour may appear different to the exact colour of the product. Due to this we strongly advise that you request a free sample before placing your order to ensure that you are happy with the colour and quality before ordering. Whilst every attempt will be made by The Blinds Portal to ensure that the goods sold and delivered match in every respect any sample or description shown or sent to you, certain minor or immaterial variations between samples and finished products cannot be warranted against, and will not be considered adequate cause to reject the order.
    • The Blinds Portal shall not be held responsible if you dislike the colour or the general quality of the product.

 

  1. Order Confirmation
    • The Blinds Portal endeavours to send an order confirmation via email as soon as reasonably practicable for each order received. Any Order Information in an order request that is not expressly approved or acknowledged by this Order Confirmation by The Blinds Portal will not be considered a part of the agreement between the parties. Delivery of this email shall be to a valid e-mail address submitted by you. You must check your email address details on when ordering and notify us without delay of any errors or omissions.
    • It is your responsibility to check the contents of the Order Confirmation is correct.
    • The Blinds Portal shall not be held responsible for any mistakes made by you.

 

  1. Measurements
    • All of the goods we sell are made according to your sizes. It is your responsibility to take the correct measurements. If you are unsure about any products or how to measure please contact our customer services team for help before ordering or consult the online measuring guide. You must check the product details and measurements of the goods before placing your order online and are responsible for checking the order via the email confirmation. We cannot accept returns or refund the money if you have given us incorrect measurements as we will not be able to resell the goods as they are made to measure.
    • Made to measure products are custom made to your precise requirements. Once made our products are suitable only to you and therefore cannot be cancelled or returned.
    • Each product is cut by highly skilled professionals who will be as accurate as possible within a variance of +/- 10mm We will not replace the order if the sizes are within the tolerance limit and you will not be entitled to reject the goods.

 

  1. Offer, Acknowledgement and Acceptance
    • Any prices, quotations and descriptions made or referred to on our Website or in any written correspondence made by us are subject to availability, do not constitute an offer which is capable of acceptance by you and may be withdrawn or revised at any time prior to our express acceptance of your order via an order Confirmation.
    • All order requests must be through our website or in writing.
    • While we make every effort to ensure that our product ranges are available, we cannot guarantee that all items will be immediately available when you submit your order.
    • If we discover an error in the price of goods you have ordered we will inform you as soon as possible and give you the option of reconfirming your Order at the correct price or cancelling it. If we are unable to contact you, we will treat Your Order as cancelled.
    • The Blinds Portal reserves the right to make changes to any Operating Components without notification on our products.
    • We are under no duty to accept your order and we may reject your order, without incurring any liability.
    • Should we be unable to process or fulfil Your Order, we will refund any prior payment that you have made for that item, minus any costs incurred.
    • A contract of sale will be deemed to have taken place when your order is confirmed.
    • As per the Consumer Contracts Regulations 2013, Made-To Measure goods, are excluded from this legislation and the 14-day cancellation rights do not apply.

 

  1. Cancellation
    • Where the goods are made-to-measure you shall have no right to cancel your order, return the goods or seek any refund of the price paid by you from us.
    • In regards to returning non-made to measure products, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (ICAC Regs) apply and state that for a sales contract (goods or goods & services), the cancellation period ends 14 days after the day on which the goods come into the possession of the consumer or their identified recipient. Your cancellation request must be made in writing via email.
    • The Blinds Portal have the right to cancel your order if:

5.2.1 We have insufficient stock to make and deliver the goods ordered.

5.2.2 You have ordered from an island or country where we do not deliver.

5.2.3 A pricing error or typing error has occurred due to system failure within our database or website.

5.2.4 If for any reason beyond our reasonable control, we are unable to supply a particular item.

 

  1. Dispatch Date
    • An Estimated Dispatch Date for an order will be provided on your order confirmation.
    • Transit times may vary for depending on your Delivery Address.
    • Any failure on the part of The Blinds Portal to ship by this Estimated Dispatch Date shall not entitle you to cancel your order.

 

  1. Delivery
    • While we endeavour to meet stated timescales or dates for delivery, we shall not be liable to you in respect of delays or failure to do so. As such, any timescales specified on our Website, invoice, any Order Confirmation are estimates only.
    • The Blinds Portal reserves the right to deliver the order in whole or in instalments.
    • The Blinds Portal shall deliver the Goods to the Delivery Address chosen by you.
    • The Blinds Portal reserves the right to choose and change its Carriers at any time without notice.
    • Regardless of the delivery date or time, the Customer will not be excused from any of its obligations under these Terms.
    • Any damaged or missing items must be signed as such with the Carrier at the time of delivery.
    • Refusal of delivery for any reason must be notified in writing to the Blinds Portal.

 

  1. Missing, Defective & Damage Goods
    • It is your responsibility to inspect the order for damage or missing items at the time of delivery.
    • All products are quality checked before dispatch but in the unlikely event that you experience any problems, please contact us in writing.
    • You have 30 days following receipt of your order to reject any damaged or defective goods due to manufacturing, or damage caused during the delivery process, but we ask that you report any issues to us as soon as possible.

  1. Warranty
    • The Goods are supplied by us ‘as is’ and all warranties, representations, conditions and other terms implied by statute or common law in respect of the sale of the Goods (including but not limited to those relating to quality, fitness for purpose, performance or correspondence with description) are, to the fullest extent permitted by law, excluded from these Terms.
    • We do not offer a warranty that the Goods will be error free.
    • These Terms also apply to any repaired or replacement Goods supplied by us to you.

 

  1. Title

Legal and beneficial ownership of the Goods will not pass to you until such time as the Goods have been paid in full.

 

  1. Assignment

You may not assign any of your rights or obligations under these Terms to another person without our prior written consent. We can assign all or any of our rights and obligations under these Terms to another person, but this will not affect your rights under these Terms.

 

  1. Limitation of Liability
    • We shall have no liability to you any loss or damage, notwithstanding any negligent act or omission, arising from the contract or the supply of the Goods or its use, including but not limited to;

13.1.1 direct financial loss, loss of profits, loss of sales, loss of contracts or agreements, loss of anticipated savings or loss of use of the Goods;

13.1.2 loss of or damage to goodwill;

13.1.3 breach of confidentiality;

13.1.4 indirect or consequential loss.

  • Nothing in these Terms restricts or limits any liability which cannot be legally limited, including liability for:

13.2.1 for death or personal injury resulting from negligence; and

13.2.2 for fraud or fraudulent misrepresentation.

  • Our total liability to you for all losses arising under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will in no circumstances exceed the aggregate of the amount you paid us for the Goods.

 

  1. Force Majeure
    • If we are unable to perform our obligations to you, either directly or indirectly, or if we are able to perform them only at an unreasonable cost to ourselves because of circumstances beyond our control (a “Force Majeure Event”), we may cancel or suspend any of our obligations to you without liability.
    • Force Majeure Events include acts of God, accident, riots, war, terrorist act, epidemic, pandemic (including the Covid-19 pandemic), quarantine, civil commotion, breakdown of communication facilities, breakdown of web host, breakdown of internet service provider, natural catastrophes, governmental acts or omissions, changes in laws or regulations, national strikes, fire, explosion, or generalized lack of availability of raw materials or energy.
    • For the avoidance of doubt, Force Majeure Events shall include: (a) financial distress or the inability of The Blinds Portal to make a profit or to avoid a financial loss, (b) changes in market prices or conditions, or (c) a party’s financial inability to perform its obligations hereunder.

 

  1. Miscellaneous
    • In case any provision in these Terms & Conditions shall be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby and such provision shall be ineffective only to the extent of such invalidity, illegality or unenforceability.
    • Nothing in these Terms shall confer any right or benefit upon any person who is not a party to it whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
    • No alteration, modification or addition to these Terms shall be valid unless made in writing and signed by duly authorised representatives from both parties.
    • A waiver by either party of a right or remedy under these Terms is only effective if given in writing and shall not be taken or held to be a waiver in respect of any subsequent breach or default.
    • Nothing in these Terms is intended to, or shall be deemed to, establish any partnership or joint venture between any of the parties, appoint a party as the agent of another party, nor authorise any party to make or enter into any commitments for or on behalf of any other party.

 

  1. Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the law of England and Wales. The parties irrecoverably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute which may arise out of, under or connection with these Terms or the legal relationship established by them.

 

  1. Data Protection

The Blinds Portal uses your personal data in line with UK GDPR.

 

Definitions

“Carrier” means any person or company who is responsible for performing shipping and delivery services for The Blinds Portal, which can be changed without notice.

“Delivery Address” means the address at which the Customer wants the goods to be delivered.

“Estimated Dispatch Date” means the estimated date upon which an order is physically loaded on to the Carrier’s vehicle.

“Goods” mean the items described in your order confirmation.

“Operating Components” includes mechanisms, cords and toggles, toggles, bottom bar plugs, consolidators, tapes, brackets, pelmet clips.

“Order Information” means any details submitted in digital form relating to your order, which includes but not limited to string/tape selection, width, drop, installation height, colour, alignment, tape colour, tape size, services, pelmet cut.
